Terms of Service

Welcome to TextAll, operated by Brian Mechura Web Services (“Company”, “we”, “us”, or “our”). By accessing or using TextAll (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the authority to bind your organization to these Terms. You are responsible for ensuring that your use complies with all applicable laws where you operate and where your recipients are located.

2. Accounts & Twilio Connect

TextAll connects to your Twilio account via Twilio Connect. You authorize us to act on your behalf within the scope of the connected Twilio subaccount to send and manage messages, phone numbers, and related resources. You remain responsible for all Twilio usage, charges, and compliance tied to your account.

3. Messaging Compliance (TCPA/CTIA/Carrier Rules)

  • You must obtain valid consent before sending messages and honor all opt-out requests (e.g., STOP, END, CANCEL, UNSUBSCRIBE, QUIT).
  • Your content must comply with the TCPA, CTIA guidelines, carrier policies, and local regulations (including A2P 10DLC and campaign registration where applicable).
  • You are solely responsible for message content, recipient targeting, quiet hours, and rate controls appropriate to your use case.

4. Acceptable Use

Prohibited uses include: illegal activity; harassment; hate speech; pornographic or sexually explicit content; scams/fraud; doxxing; malware/phishing; and any content or behavior restricted by carriers or Twilio. We may suspend or terminate access for violations.

5. Data, Security & Privacy

  • You control the recipient data you load into TextAll. You represent you have rights to use it.
  • We follow reasonable technical and organizational measures to protect data. No method of transmission or storage is 100% secure.
  • Sensitive Twilio credentials (such as parent-account Auth Tokens for your selected numbers) are encrypted at rest and used only for message sending and webhook validation. Users do not manage or supply encryption keys.
  • Our Privacy Policy explains how we collect and process information.

6. Fees & Billing

TextAll subscription fees (if applicable) are billed by us; carrier and Twilio fees are billed by Twilio to your account. You are responsible for all usage charges, taxes, and overages. Fees are non-refundable unless stated otherwise in writing.

7. Fair Use, Limits & Availability

We may enforce throughput limits, daily caps, concurrent job limits, and anti-abuse safeguards to maintain platform stability and carrier compliance. We may modify or suspend features for maintenance, security, or service health.

8. Ownership & License

We retain all rights in the Service, software, and documentation. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription and in accordance with these Terms.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access immediately for violations or to comply with law/carrier directives. Upon termination, your right to access the Service ends; certain provisions survive (e.g., indemnity, limitation of liability).

10. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation or delivery.

11. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, goodwill, or business interruption. Our aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us for the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You will defend, indemnify, and hold us harmless from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, your violation of these Terms, or your violation of laws or third-party rights.

13. Changes to the Service or Terms

We may modify the Service and these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date. Your continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles. Venue lies in courts located in Ohio.
